The Law Office of David H. Faux, P.C. counsels and assists clients in organizing and forming business entities including corporations, partnerships, limited partnerships, and limited liability companies.

Our firm drafts certificates and articles of organization, operating and shareholder agreements, and other corporate governance documents as appropriate. The law office offers clients the option to work in conjunction with an already existing in-house counsel or to serve as outside general whether the client is a domestic and foreign enterprise.

Every state has laws requiring certain minimal standards for corporate governance. For example, New York State requires an annual election of directors, regular meetings, and minutes of all meetings for review by interested parties. Without honoring these formalities, a business entity makes its members or shareholders vulnerable to civil liability. The law office instructs clients on day-to-day governance matters including management, growth, and dissolution.
